These Terms & Conditions ("Terms") govern your access to and use of the ShopFlow platform and related services (the "Service"), provided by ShopFlow Technologies LLC ("ShopFlow," "we," "us," or "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

ShopFlow is a business-management platform that helps shops and service businesses manage appointments, customer records, payments, reviews, and communications including SMS and call routing. We may add, change, or remove features at any time. We may also set reasonable limits on use of the Service.

The Service lets you send SMS messages to your customers through Twilio. You are solely responsible for obtaining the consent required by law before messaging your customers and for complying with all applicable rules, including the Telephone Consumer Protection Act (TCPA), CAN-SPAM, CTIA guidelines, and carrier requirements.

6. Your data & customer data

You retain ownership of the data you and your customers submit to the Service ("Your Data"). You grant ShopFlow a limited license to host, process, and transmit Your Data solely to provide and improve the Service. As between you and your customers, you are the controller of your customers' personal information and are responsible for handling it lawfully. Our handling of personal information is described in our Privacy Policy.

7. Third-party services

The Service relies on third-party providers, including Twilio (messaging and voice) and Stripe (payments). Your use of those features may be subject to the third party's own terms. We are not responsible for third-party services, and their availability is outside our control.

8. Intellectual property

The Service, including its software, design, and trademarks, is owned by ShopFlow and protected by intellectual property laws. These Terms do not grant you any right to our trademarks or to copy, modify, or create derivative works of the Service except as expressly permitted.

You agree to indemnify and hold harmless ShopFlow from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, Your Data, your messages to customers, or your violation of these Terms or applicable law.

12. Termination

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access if you violate these Terms, fail to pay, or if we discontinue the Service. Upon termination, your right to use the Service ends; sections that by their nature should survive (including ownership, disclaimers, limitation of liability, and indemnification) will survive.

13. Governing law

These Terms are governed by the laws of the State of New Mexico, USA, without regard to its conflict-of-laws rules. You agree to the exclusive jurisdiction of the state and federal courts located in New Mexico for any dispute not subject to arbitration or small-claims court.

14. Changes to these Terms

We may update these Terms from time to time. We will revise the "Last updated" date above and, for material changes, provide additional notice. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
